Section 412. Committee Procedures.

(a) Sections 403(a) and (c) and 404 of the Bylaws shall be applicable to Committees of the Board of Governors, except that any committee of the Board may meet upon at least 24 hours' notice by telephone.

(b) A majority of the Governors in office designated to a committee, or Governors designated to replace them as provided in Section 411 of the Bylaws, shall be present at each meeting to constitute a quorum for the transaction of business and the acts of a majority of the Governors in office designated to a committee or their replacements shall be the acts of the committee.

(c) Each committee shall keep regular minutes of its proceedings and report such proceedings periodically to the Board and through the Board to the House of Delegates.
