Section 941. Resignations and Removal.

(a)    Any Delegate, Governor, Officer or agent may resign at any time by giving written
notice to the Board of Governors, or to the President or the Secretary. Except as provided in subparagraph (b) of this section, any such resignation shall take effect at the date of the receipt of such notice or at any later time specified therein and, unless otherwise specified therein, the acceptance of such resignation shall not be necessary.

(b)    The Board, by a two-thirds vote of all members, whether or not a resignation has been submitted, may remove any Officer or Board member for fraudulent or dishonest acts, gross abuse of authority or discretion with reference to the Association, any act or omission that would bring disrepute to the Association whether or not occurring within the scope of the Officer’s or Board member’s duties to the Association or any other proper cause. Prior to the vote, the Board shall have provided reasonable written notice to the Officer or Board member specifying the intention to conduct the vote, the date upon which the vote is to be held and the grounds alleged for proposed removal.   At the hearing the Member, personally and/or by counsel, will be afforded the full opportunity to be heard. The decision of the Board of Governors shall be final.

(c)    Any resignation or removal will be considered a resignation or removal from
the position or office held at the time the resignation or removal is effective, as well as all benefits, privileges and obligations associated with the position or office.
